Ecliptz Labs Private Limited provides software products and development services, including but not limited to:

04.Intellectual Property Rights

All content on this website, including but not limited to text, graphics, logos, icons, images, code, and software, is the exclusive property of Ecliptz Labs Private Limited or its content suppliers and is protected under applicable Indian and international intellectual property laws.

Proprietary software products developed by Ecliptz Labs, their source code, design systems, architectures, and associated intellectual property remain the sole property of the Company unless explicitly transferred to a client through a written agreement.

For client projects where IP transfer is agreed upon, ownership of deliverables is transferred to the client only upon receipt of full and final payment, as documented in the respective service agreement.

05.Payment Terms

Payment terms for services are defined in individual project agreements or service contracts. General terms include:

• All fees are quoted in Indian Rupees (INR) unless otherwise specified in writing
• Advance payments or milestone-based billing may apply depending on project scope
• Invoices are due within the timeframe stated on the invoice or in the agreement
• Late payments may attract interest or result in suspension of services
• All applicable taxes (including GST) will be charged as per Indian law

For digital products or SaaS subscriptions offered by Ecliptz Labs, pricing and billing terms are specified on the respective product platform and may be governed by a separate subscription agreement.

06.Third-Party Services

Our services and products may integrate with or rely upon third-party platforms, APIs, and payment processors. This includes, but is not limited to, payment gateway providers such as Cashfree Payments.

We are not responsible for the content, privacy practices, or availability of any third-party websites or services that may be linked from our platforms.

07.Limitation of Liability

To the fullest extent permitted by applicable law, Ecliptz Labs Private Limited and its directors, employees, partners, agents, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation loss of profits, data, goodwill, or business opportunities, resulting from:

• Your access to or use of (or inability to access or use) our services
• Any conduct or content of any third party on our services
• Unauthorized access, use, or alteration of your transmissions or content
• Technical failures, interruptions, or errors in our services
• Any transactions or interactions with third-party payment processors

In no event shall the total liability of Ecliptz Labs Private Limited exceed the amount paid by you, if any, for the specific service giving rise to the claim in the twelve (12) months preceding the event.

08.No Warranty

Our website and services are provided on an “as is” and “as available” basis without any warranty of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, non-infringement, or uninterrupted or error-free operation.

Ecliptz Labs Private Limited does not warrant that the website will be continuously available, free from errors, viruses, or other harmful components, or that defects will be corrected. Any reliance on information provided on the website is at your sole risk.

09.Termination

Ecliptz Labs Private Limited reserves the right to suspend or terminate your access to our services at any time, with or without cause or notice, in the event of:

• Breach of these Terms & Conditions
• Non-payment of agreed fees
• Any fraudulent, abusive, or unlawful conduct
• Any activity that endangers our systems, reputation, or other users

Upon termination, any rights or licenses granted to you under these Terms will immediately cease. Provisions that by their nature should survive termination (including intellectual property rights, disclaimers, and limitations of liability) shall remain in effect.

10.Governing Law & Jurisdiction

These Terms & Conditions are governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts located in Hyderabad, Telangana, India.

The parties agree to attempt to resolve any disputes amicably before resorting to formal legal proceedings. Where applicable, disputes may be referred to arbitration in accordance with the Arbitration and Conciliation Act, 1996 (India).
